KRAKEN DEPOSIT SWEEPSTAKES — OFFICIAL RULES

BY PARTICIPATING IN THE PROMOTION, YOU AGREE TO THESE OFFICIAL RULES AND THE KRAKEN.COM TERMS OF SERVICE, WHICH EACH FORM A CONTRACT. READ THEM CAREFULLY BEFORE ENTERING. NO PURCHASE, DEPOSIT, OR FUNDING NECESSARY TO PARTICIPATE OR WIN.

In the event of any inconsistency, conflict, or ambiguity between the French version and the English version of these Terms, the English version shall prevail and control.

1. Sponsor

This Promotion is sponsored by Tulip HoldCo Ltd., 2nd Floor, Water's Edge Building, Wickhams Cay II, Road Town, Tortola, British Virgin Islands (the "Sponsor" or "Kraken").

2. Eligible Areas

This Promotion is open to eligible customers residing in the European Economic Area ("EEA"). Residents of the United Kingdom are not eligible to participate. Void where prohibited.

3. Promotion Period

The Promotion begins on 19 June 2026 at 11:00 UTC and ends on 31 July 2026 at 13:59 UTC (the "Promotion Period"). Entries received before the start or after the close of the Promotion Period will not be counted. Sponsor's computer is the official time-keeping device for this Promotion.

4. How to Participate / Qualifying Activity

To earn entries:

  • Enrol in the Promotion via the Kraken mobile app, the Kraken Pro mobile app, or the Kraken Pro web app during the Promotion Period. Enrolment must be completed before any deposit activity can earn entries.

  • After enrolment, every EUR €1.00 (or equivalent) of eligible Fiat or Crypto deposits made to your Kraken account during the Promotion Period earns one (1) entry into the prize draw.

  • Maximum entries per participant: 4,000,000,000 (four billion), combining deposit-based and AMOE entries.

Free Alternative Method of Entry (AMOE): No purchase, deposit, or trade is necessary to enter or win. A free alternative method of entry is available via Sweeppea at https://swpp.me/a/depositsweeps26. Each valid AMOE submission earns ten (10) entries. Limit one (1) AMOE submission per person. AMOE entries count toward the 4,000,000,000 entry maximum. The AMOE is subject to Sweeppea’s terms and conditions.

In the event of conflict between these Official Rules and any marketing materials, these Official Rules shall control.

5. Reward

One (1) prize of EUR €1,000,000 (one million euros) will be awarded to the selected winner.

The prize is non-transferable and non-exchangeable. No cash alternative will be offered except at Sponsor's sole discretion. Sponsor reserves the right to substitute the prize with one of equal or greater value if the stated prize becomes unavailable.

6. Eligibility to Participate

To be eligible to participate, you must:

  • Be at least 18 years of age (or the age of majority in your country of residence, whichever is greater) at the time of enrolment;

  • Be a legal resident of one of the Eligible Areas listed in Section 2 at the time of enrolment and throughout the Promotion Period;

  • Hold a valid Kraken account (Consumer or Pro) in good standing; and

  • Comply with all applicable laws and these Official Rules.

Participation is subject to Kraken's applicable Terms of Service. Sponsor reserves the right to verify eligibility at any time.

7. Disqualification

Sponsor reserves the right to disqualify any participant who:

  • Engages in wash trading, self-funding, self-dealing, or any activity designed to artificially inflate entries;

  • Uses a VPN, proxy server, or other technical means to circumvent geographic restrictions or disguise their true location;

  • Operates or has operated multiple or duplicate Kraken accounts in connection with this Promotion;

  • Provides false, misleading, or inaccurate information during enrolment or at any point during the Promotion Period;

  • Is found to be a resident of an ineligible jurisdiction at the time of entry or reward distribution — Sponsor reserves the right to clawback or withhold any prize in such circumstances; or

  • Otherwise violates these Official Rules or Kraken's Terms of Service.

8. Reward Distribution

To receive the prize, the selected winner must, before reward fulfilment, have: (a) a Kraken account in good standing; and (b) completed at least Intermediate KYC verification, plus any additional verification required by Kraken or applicable law in the participant's jurisdiction If these requirements are not met at the time of distribution, the prize may be forfeited or clawed back.

The winner will be selected by random draw from all eligible entries at the close of the Promotion Period. The winner will be notified via the email address associated with their Kraken account within fourteen (14) days of the draw. If a selected winner cannot be contacted, does not claim the prize within thirty (30) days of notification, or is found to be ineligible, Sponsor reserves the right to select an alternative winner.

Prize distribution will be completed within thirty (30) days of the winner’s eligibility being confirmed. Sponsor’s decisions regarding prize distribution are final and binding. There is no withdrawal hold on prizes.

9. Consents and Approvals

By entering the Promotion, you agree that any content and any other information submitted by you or collected by Kraken in connection with the Promotion may be used by Kraken, including its affiliated business entities. You consent to communications from Kraken strictly necessary for administration of this Promotion and your Kraken account. Where required by applicable law (including for participants in the European Economic Area), consent to receive marketing communications from Kraken is separate from participation in this Promotion and will be sought through a separate opt-in mechanism. Participation in this Promotion does not constitute consent to receive marketing communications. You give consent for Kraken and its agents to obtain and deliver your name, address, and other information to third parties for the purpose of administering this Promotion and complying with applicable laws, regulations, and rules.

YOU FURTHER ACKNOWLEDGE THAT IF YOU ARE A WINNER, YOUR IDENTIFYING INFORMATION, INCLUDING BUT NOT LIMITED TO YOUR NAME AND ADDRESS, MAY BE DISCLOSED TO THIRD PARTIES TO FACILITATE THE PROMOTION AND COMPLY WITH APPLICABLE LAW, TAX, AND REPORTING REQUIREMENTS.

Except as otherwise contemplated in these Official Rules, Kraken will use personal information collected in connection with the Promotion in accordance with its online privacy policy at https://kraken.com/legal/privacy.

10. Disclaimers

Cryptocurrency Risk Disclosure.

Cryptocurrency and digital assets are subject to significant price volatility. The value of any prize distributed in cryptocurrency may fluctuate between the time of the draw and the time of distribution. Past performance is not indicative of future results. This Promotion does not constitute investment advice. Although the term “stablecoin” is commonly used, there is no guarantee that the asset will maintain a stable value in relation to the value of the reference asset when traded on secondary markets or that the reserve of assets, if there is one, will be adequate to satisfy all redemptions.

Operational Disclaimers.

Kraken is not responsible for any changes or unavailability of internet access or any other interference with a participant’s ability to access or participate in the Promotion, including the ability to timely enter, receive notices, or communicate with Kraken. Without limiting any other provision in these Official Rules, Kraken is not responsible or liable for any damage or loss by reason of any acts of God, equipment failure, terrorist acts, earthquake, war, fire, flood, epidemic, explosion, unusually severe weather, embargo, labour dispute, transportation interruption of any kind, civil disturbance, or any governmental authority action, or any other cause beyond Kraken’s reasonable control.

In the event of conflict between these Official Rules and any marketing or promotional materials, these Official Rules shall control.

11. Limitation of Liability, Disputes, and Governing Law

By participating in the Promotion you agree to and hereby do release and hold Kraken harmless from any damage, injury, death, loss, claim, action, demand, or other liability (collectively, "Claims") that may arise from your acceptance, possession and/or use of any prize or your participation in this Promotion, regardless of whether such Claims, or knowledge of the facts constituting such Claims, exist at the time of entry or arise at any time thereafter. BY PARTICIPATING IN THE PROMOTION, YOU AGREE THAT TO THE EXTENT PERMITTED BY APPLICABLE LAW: (1) ANY AND ALL DISPUTES, CLAIMS AND CAUSES OF ACTION THAT CANNOT BE RESOLVED BETWEEN YOU AND KRAKEN ARISING OUT OF OR CONNECTED WITH THE PROMOTION WILL BE RESOLVED INDIVIDUALLY, WITHOUT RESORT TO ANY FORM OF CLASS ACTION; (2) ANY AND ALL CLAIMS, JUDGMENTS AND AWARDS WILL BE LIMITED TO ACTUAL THIRD-PARTY, OUT-OF-POCKET COSTS INCURRED, (IF ANY), NOT TO EXCEED TWENTY FIVE DOLLARS ($25.00), BUT IN NO EVENT WILL ATTORNEYS' FEES BE AWARDED OR RECOVERABLE; (3) UNDER NO CIRCUMSTANCES WILL YOU BE PERMITTED TO OBTAIN ANY AWARD FOR, AND YOU HEREBY KNOWINGLY AND EXPRESSLY WAIVE ALL RIGHTS TO SEEK, PUNITIVE, INCIDENTAL, CONSEQUENTIAL OR SPECIAL DAMAGES, LOST PROFITS AND/OR ANY OTHER DAMAGES, OTHER THAN ACTUAL OUT-OF-POCKET EXPENSES NOT TO EXCEED TWENTY FIVE DOLLARS ($25.00), AND/OR ANY RIGHTS TO HAVE DAMAGES MULTIPLIED OR OTHERWISE INCREASED; (4) YOUR REMEDIES ARE LIMITED TO A CLAIM FOR MONEY DAMAGES (IF ANY) AND YOU IRREVOCABLY WAIVE ANY RIGHT TO SEEK INJUNCTIVE OR EQUITABLE RELIEF.Dispute resolution and governing law are governed by the Kraken Terms of Service applicable to you, available at https://www.kraken.com/legal/eea-terms, including all dispute resolution and governing law provisions contained therein. 12. Taxes

The winner is solely responsible for all applicable taxes, duties, levies, and other charges arising from the receipt or use of the prize, including but not limited to income tax and capital gains tax, in their country of residence. Sponsor makes no representations regarding the tax treatment of the prize and recommends that winners seek independent tax advice.

13. General Terms

Sponsor reserves the right to modify, suspend, or terminate this Promotion at any time.

These Official Rules constitute the entire agreement between participants and Sponsor with respect to this Promotion and supersede all prior agreements, representations, and understandings. If any provision of these Official Rules is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. Sponsor's failure to enforce any provision of these Official Rules shall not constitute a waiver of that provision.

1. Promoteur

Cette promotion est organisée par Tulip HoldCo Ltd., 2nd Floor, Water’s Edge Building, Wickhams Cay II, Road Town, Tortola, Îles Vierges britanniques (le « Promoteur », également désigné « Kraken »).

2. Zones éligibles

Cette promotion est ouverte aux clients éligibles résidant dans l'Espace économique européen (« EEE »). Les résidents du Royaume-Uni ne sont pas éligibles à participer. Nulle là où la loi l'interdit.

3. Période de promotion

La promotion débute le 19 juin 2026 à 11h00 UTC et se termine le 31 juillet 2026 à 13h59 UTC (la « Période de promotion »). Les participations reçues avant le début ou après la clôture de la Période de promotion ne seront pas comptabilisées. L’ordinateur du Promoteur fait foi pour le respect des délais.

4. Modalités de participation / Activité qualifiante

Pour obtenir des participations :

  • Inscrivez-vous à la promotion via l’application mobile Kraken, l’application mobile Kraken Pro ou l’application web Kraken Pro pendant la Période de promotion. L’inscription doit être effectuée avant que toute activité de dépôt puisse générer des participations.

  • Après inscription, chaque tranche de 1,00 EUR (ou équivalent) de dépôts éligibles en monnaie fiduciaire ou en crypto-monnaie effectués sur votre compte Kraken pendant la Période de promotion génère une (1) participation au tirage au sort.

  • Nombre maximum de participations par participant : 4 000 000 000 (quatre milliards), en combinant les participations par dépôt et les participations AMOE.

Mode alternatif gratuit de participation (AMOE) : aucun achat, dépôt ou transaction n’est nécessaire pour participer ou gagner. Un mode alternatif gratuit de participation est disponible via Sweeppea à l’adresse https://swpp.me/a/depositsweeps26. Chaque soumission AMOE valide génère dix (10) participations. Limite d’une (1) soumission AMOE par personne. Les participations AMOE s’imputent sur le plafond de 4 000 000 000 participations. L’AMOE est soumis aux conditions générales de Sweeppea.

En cas de conflit entre le présent règlement officiel et tout support marketing, le présent règlement officiel prévaut.

5. Récompense

Un (1) prix de 1 000 000 EUR (un million d’euros) sera attribué au gagnant sélectionné. Le prix est incessible et ne peut être échangé.

Aucune alternative en espèces ne sera proposée, sauf à la seule discrétion du Promoteur. Le Promoteur se réserve le droit de substituer le prix par un prix de valeur égale ou supérieure si le prix annoncé devient indisponible.

6. Conditions d’éligibilité

Pour être éligible à participer, vous devez :

  • Être âgé d’au moins 18 ans (ou de l’âge de la majorité légale dans votre pays de résidence, si celui-ci est supérieur) au moment de l’inscription ;

  • Être résident légal d’une des Zones éligibles mentionnées à l’article 2 au moment de l’inscription et pendant toute la Période de promotion ;

  • Détenir un compte Kraken (Consumer ou Pro) en règle ; et

  • Respecter toutes les lois applicables et le présent règlement officiel.

La participation est soumise aux Conditions générales d’utilisation Kraken applicables. Le Promoteur se réserve le droit de vérifier l’éligibilité à tout moment.

7. Disqualification

Le Promoteur se réserve le droit de disqualifier tout participant qui :

  • Se livre au wash trading, à l’auto-financement, à l’auto-transaction ou à toute activité destinée à gonfler artificiellement les participations ;

  • Utilise un VPN, un serveur proxy ou tout autre moyen technique pour contourner les restrictions géographiques ou dissimuler sa véritable localisation ;

  • Exploite ou a exploité plusieurs comptes Kraken ou des comptes en double en lien avec cette promotion ;

  • Fournit des informations fausses, trompeuses ou inexactes lors de l’inscription ou à tout moment pendant la Période de promotion ;

  • Est reconnu comme résident d’une juridiction non éligible au moment de la participation ou de la distribution du prix — le Promoteur se réserve le droit de récupérer ou de retenir tout prix dans ces circonstances ; ou

  • Enfreint le présent règlement officiel ou les Conditions générales d’utilisation de Kraken.

8. Distribution de la récompense

Pour recevoir le prix, le gagnant sélectionné doit, avant la remise de la récompense, disposer : (a) d’un compte Kraken en règle ; et (b) avoir effectué au minimum la vérification KYC intermédiaire, ainsi que toute vérification supplémentaire requise par Kraken ou par la loi applicable dans la juridiction du participant. Si ces conditions ne sont pas remplies au moment de la distribution, le prix pourra être annulé ou récupéré.

Le gagnant sera sélectionné par tirage au sort parmi toutes les participations éligibles à la clôture de la Période de promotion. Le gagnant sera notifié par e-mail à l’adresse associée à son compte Kraken dans les quatorze (14) jours suivant le tirage. Si un gagnant sélectionné ne peut être contacté, ne réclame pas son prix dans les trente (30) jours suivant la notification, ou s’avère inéligible, le Promoteur se réserve le droit de sélectionner un autre gagnant.

La distribution du prix sera finalisée dans les trente (30) jours suivant la confirmation de l’éligibilité du gagnant. Les décisions du Promoteur concernant la distribution des prix sont définitives et contraignantes. Il n’y a pas de période de blocage de retrait sur les prix.

9. Consentements et approbations

En participant à la promotion, vous acceptez que tout contenu et toute autre information soumis par vous ou collectés par Kraken dans le cadre de la promotion puissent être utilisés par Kraken, y compris ses entités affiliées. Vous consentez aux communications de Kraken strictement nécessaires à l’administration de la présente promotion et de votre compte Kraken. 11. Limitation de responsabilité, litiges et droit applicable

En participant à la Promotion, vous acceptez de dégager de toute responsabilité et d'indemniser Kraken de tout dommage, blessure, décès, perte, réclamation, action, demande ou autre responsabilité (collectivement, les « Réclamations ») pouvant résulter de votre acceptation, possession et/ou utilisation d'un prix ou de votre participation à cette Promotion, que ces Réclamations, ou la connaissance des faits les constituant, existent au moment de la participation ou surviennent ultérieurement. Le gagnant est seul responsable de l’ensemble des taxes, droits, prélèvements et autres charges applicables découlant de la réception ou de l’utilisation du prix, y compris, mais sans s’y limiter, l’impôt sur le revenu et la taxe sur les plus-values, dans son pays de résidence. Le Promoteur ne fait aucune déclaration concernant le traitement fiscal du prix et recommande aux gagnants de consulter un conseiller fiscal indépendant.

13. Dispositions générales

Le Promoteur se réserve le droit de modifier, suspendre ou mettre fin à cette promotion à tout moment. Cette promotion est nulle là où la loi l’interdit.

Le présent règlement constitue l’intégralité de l’accord entre les participants et le Promoteur concernant cette promotion et remplace tous les accords, déclarations et ententes antérieurs. Si une disposition du présent règlement est jugée invalide ou inapplicable, les autres dispositions resteront en vigueur. Le fait pour le Promoteur de ne pas faire respecter une disposition du présent règlement ne constitue pas une renonciation à cette disposition.
